Each type of business organization has supplementing and/or off-setting operational and tax consequences. Our firm assists each client seeking incorporation and business planning solutions with understanding and deciding on which of the various business organizations is best suited for their particular goals and circumstances. We advise our clients about directors' and officers' liability, dissolution, reorganization, joint ventures, mergers, acquisitions, divestitures, business successions, and shareholders' rights. Upon deciding on the appropriate business entity suited for a client, we draft all necessary incorporation documents and file them with the appropriate state agency.
In an effort to provide complete post-incorporation services, we also offer clients a "General Counsel Service" program. For a cost-efficient monthly retainer, the firm is of counsel to serve as your registered agent, review contracts, draft legal correspondence and documents, participate in teleconferences, attend meetings, provide legal opinions and much more.
